BrainRoad Terms of Service
Terms governing the BrainRoad private AI Computer, subscription, included model allowance, customer responsibilities, cancellation, and deletion.

These Terms govern use of brainroad.com and the BrainRoad Cloud service at app.brainroad.com. By creating an account or using the service, you agree to them. You must be at least 18 and able to form a binding agreement.
The Service
BrainRoad provides an account-scoped private Computer with Hermes, one shared graphical desktop, persistent customer storage, operational backups, browser access, included model access, and lifecycle operations. Hermes and connected providers supply agent, model, tool, connector, browser, and routine capabilities.
Features may change during launch verification. Statements about future features, pilot outcomes, recovery, availability, or performance are not guarantees unless they appear as an express written commitment in an order or service-level agreement.
Subscription and Included Model Use
The launch subscription is $79 per month. It includes one Computer and up to $20 of model use per calendar month through the configured OpenRouter key. The allowance is not cash, does not roll over, and cannot be transferred. When it is exhausted, new model work pauses until the monthly reset. BrainRoad does not charge automatic model overages.
Taxes may apply. The subscription renews until canceled. You may cancel from the product; access may continue through the paid period unless the account is suspended for nonpayment, misuse, security risk, or legal necessity.
Customer Responsibilities
You are responsible for:
- the jobs, instructions, files, credentials, accounts, and permissions you give your Bots;
- reviewing whether a connected tool or external action is appropriate for your business;
- complying with law and third-party terms, including privacy, communications, employment, financial, intellectual-property, and industry obligations;
- maintaining appropriately scoped provider credentials and human control of passwords, two-factor checks, CAPTCHAs, payments, and identity verification; and
- keeping independent copies of information that cannot reasonably be replaced.
BrainRoad runs Hermes in an autonomous execute-and-report mode by default inside your private Computer. Automated work can be mistaken, incomplete, delayed, irreversible, or harmful. You must not use the service to violate law, harm others, gain unauthorized access, distribute malware, evade safeguards, or operate high-stakes systems without qualified human oversight.
Shared Computer State
Bots on your Computer share its files, browser sessions, credentials, and one graphical screen. Bots are not separate security boundaries. Do not connect a credential that another Bot on the same Computer must not be able to use.
Backups, Update, Recover, and Reset
BrainRoad uses a separate customer data disk and scheduled backups to support update and recovery. Recovery from a backup can lose work created after the displayed backup time. Reset and account deletion are destructive. The product will disclose the selected backup or deletion effect before the operation when practical.
No backup system is infallible. BrainRoad does not promise that every external session, token, website state, or third-party integration can be restored.
Third-Party Services
Clerk, Stripe, Cloudflare, OpenRouter, model providers, websites, connectors, and other tools have their own terms and availability. BrainRoad is not responsible for a third party’s content, decisions, suspension, outage, price change, or data practices.
Intellectual Property
You retain rights in content you provide and results you lawfully own. You grant BrainRoad the limited rights needed to host, transmit, back up, recover, and delete that content while providing the service. BrainRoad retains rights in its website, software, brand, and documentation. Open-source components remain governed by their licenses.
Suspension and Termination
We may restrict or suspend access to protect customers, infrastructure, or others; respond to nonpayment or legal process; or address a material breach. You may cancel and request account deletion. Deletion removes the Computer, customer storage, backups, and model key through tracked operations, subject to legally required records.
Disclaimers and Liability
To the extent permitted by law, the service is provided as-is and as-available, without implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, or error-free AI results.
To the extent permitted by law, BrainRoad is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, opportunities, goodwill, or data. BrainRoad’s aggregate liability for claims relating to the service will not exceed the amount you paid BrainRoad during the three months before the event giving rise to the claim. Some jurisdictions do not permit these limits, so they may not apply to you.
Changes and Governing Terms
We may update these Terms as the product changes. Material changes will be posted with a new effective date and, when appropriate, notified through the service. If a separate signed order conflicts with these Terms, the signed order controls for that conflict.
